These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RowRocket ("we," "us," or "our"), governing your access to and use of the RowRocket website and services (collectively, the "Service").

By simply accessing or using the Service, you signify your agreement to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

RowRocket allows users to create integrations between Google Sheets and Slack to send automated notifications based on sheet changes.

2. User Accounts

• Account Creation: To create an account and use the Service, you must be 16 years of age or older. You agree to provide accurate and complete information during the account creation process.
• Account Credentials: You are responsible for maintaining the confidentiality of your account credentials (e.g., your Google account password). RowRocket is not liable for any loss or damage arising from your failure to protect your credentials.
• Compromised Accounts: If you believe your account has been compromised, you should change your password immediately. Additionally, you must notify us promptly so we can disable your account and integrations to prevent further unauthorized access.
• Account Sharing: Accounts are for individual use only. You are not permitted to share your RowRocket account with others.

3. User Responsibilities and Conduct (Acceptable Use Policy)

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all content, data, and information that you input, process, or transmit through your integrations using the Service.

You are expressly prohibited from:

• Using the Service for any illegal activities.
• Infringing upon our or any third party's intellectual property rights.
• Distributing malware, viruses, or any other harmful code through the Service.
• Sending spam or other unsolicited messages through the Service.
• Attempting to gain unauthorized access to our systems, data, or other user accounts.
• Disrupting the Service or its servers.
• Harvesting data from other users.
• Processing or transmitting any content through your integrations that is hateful, harassing, unlawful, or designed to harm or hurt anyone physically, personally, or emotionally. Only legal content is permitted.

4. Intellectual Property Rights

• RowRocket's Property: All intellectual property rights in the Service, including but not limited to its code, design, features, and trademarks, are owned exclusively by RowRocket.
• User Content: You retain all ownership rights to the content and data that you input into or process through the Service (e.g., your Google Spreadsheet data, the messages you send via Slack).
• License to RowRocket: By using the Service, you grant RowRocket a limited, non-exclusive, royalty-free, worldwide license to access, process, and transmit your content and data solely for the purpose of providing and operating the Service on your behalf (e.g., reading your Google Sheets, sending messages to Slack). This license terminates when you remove the content from the Service or delete your account.

5. Subscription, Fees, and Payments

• Free Plan: The Service is currently available under a free plan.
• Paid Plans: RowRocket now offers paid plans that provide enhanced features and higher usage limits. You can find details of available plans and their pricing on our website. Paid plans are billed monthly in advance.
• Payment Processing: All payments for paid plans are processed securely by Stripe. You agree to provide Stripe with accurate and complete payment information. Your payment terms with Stripe will be governed by Stripe's terms of service.
• Downgrades: You may downgrade your plan; however, the downgrade will not take effect until the start of your next monthly billing cycle, as you are prepaying for the current month.
• Refunds: Refunds for paid plans will only be issued if your account is terminated by RowRocket.

Specific terms regarding pricing, features, and additional payment policies for paid plans are incorporated into these Terms upon their introduction.

6. Termination and Suspension

• Termination by You: You may terminate your RowRocket account at any time by following the instructions on your profile page.
• Termination or Suspension by RowRocket: We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you:
  • Violate these Terms of Service.
  • Fail to make timely payments for paid plans (when applicable).
  • Engage in illegal activity through the Service.
  • Your account experiences long-term inactivity.
• Effect of Termination: Upon termination of your account by either you or RowRocket, all your associated data, including integrations and personal information, will be immediately and permanently deleted from our database. This includes relevant customer records with our payment processor, Stripe, where no active subscriptions or outstanding payment obligations remain.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ROWROCKET MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROWROCKET, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. Indemnification

You agree to indemnify, defend, and hold harmless RowRocket, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your misuse of the Service.

10. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide you with at least thirty (30) days' notice of any material changes by sending an email to the address associated with your account and by posting the updated Terms prominently on our website. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after the effective date of the revised Terms signifies your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue your use of the Service.

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiations. If informal negotiations do not resolve the dispute, the parties agree to resolve the dispute through binding arbitration administered by a neutral third party, rather than in court.

12. Miscellaneous

• Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
• Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of RowRocket to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and RowRocket regarding the Service.
